How the five are picked
Every Form 4, Schedule 13D and House disclosure filed on the latest filing day is scored against our own record, and the five highest scores are shown, one per company. Each item's score is under "Why it ranks":
- Insider purchase: the size of the purchase in dollars as a power of ten ($1 million is 6), plus 3 when it is the largest insider purchase at that company on our record, plus 2 when three or more insiders bought within 30 days, plus 2 for the chief executive or chief financial officer, plus 1 for the insider's first purchase there.
- New activist Schedule 13D: 6, plus the percent of the class divided by ten, up to 3.
- House trade: the bottom of the disclosed range as a power of ten, plus half a point for a purchase. Only ranges that start above $250,000.
Before an item is shown it is read again at the original source: the Form 4 XML at the SEC (every transaction row, the dollar total, the person, the role and the ticker), the 13D's own document, or the House Clerk's filing index and the disclosure PDF. An item that does not match is left out. A purchase on Form 4 can also be shares bought privately from the company. EDGAR takes no filings on weekends and federal holidays, so on those days the list is from the last day it was open.
